Script Inc. Terms of Service
Effective Date: April 15, 2025
1. Welcome to Script Inc.!
These Terms of Service ("Terms") govern your relationship with Script Inc. ("Script Inc.," "we," "us," or "our") and your use of the Script Inc. mobile application, website (https://www.scriptinc.app), and any related services we offer (collectively, the "Services"). Our Services provide a platform for users to create, share, and interact with content.
These Terms form a legally binding contract between you and Script Inc. Please read them carefully. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
2. Who Can Use the Services
You must be at least 12 years old to create an account and use the Services. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. If we learn that someone under 12 is using the Services, or someone under 18 is using the Services without parental/guardian supervision and agreement, we will terminate that user’s account.
By using the Services, you represent and warrant that:
- You are at least 12 years old.
- If you are under 18 (or the age of legal majority), your parent or legal guardian has reviewed and agreed to these Terms.
- You can form a binding contract with Script Inc. or have the necessary consent from a parent/guardian to do so.
- You are not prohibited from receiving or using our Services under applicable laws (e.g., you are not on any U.S. government list of prohibited or restricted parties).
- You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
3. Your Account
You are responsible for any activity that occurs in your Script Inc. account. It's important that you keep your account secure.
- Account Creation: You may need to create an account to access some or all of our Services. When you create an account, you must provide accurate and complete information.
- Account Security: Keep your account password confidential and do not share it with anyone else. Notify us immediately at info@script.app if you suspect any unauthorized use of or access to your account. You are responsible for all activities that occur under your account, whether or not you know about them.
- Account Usage: You may not sell, transfer, license, or assign your account, username, or any account rights. You may not create an account for anyone other than yourself without express permission. You may not create another account if we have already disabled your account, unless you have our written permission to do so.
4. Privacy
Your privacy matters to us. You can learn how we handle your information when you use our Services by reading our Privacy Policy. We encourage you to review the Privacy Policy carefully because, by using our Services, you agree that Script Inc. can collect, use, and share your information consistent with that policy.
5. Rights We Grant You
Script Inc. grants you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable license to access and use the Services. This license is for the sole purpose of letting you use and enjoy the Services in a way that these Terms and our policies allow.
Any software that we provide you may automatically download and install upgrades, updates, or other new features. You may be able to adjust these automatic downloads through your device’s settings.
You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission to do so.
6. Rights You Grant Us
Our Services allow you to create, upload, post, send, receive, and store content. When you do that, you retain whatever ownership rights in that content you had to begin with. But you grant us a license to use that content.
You grant Script Inc. and our affiliates a worldwide, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, adapt, edit, publish, and distribute that content. This license is for the limited purpose of operating, developing, providing, promoting, and improving the Services and researching and developing new ones.
This means, among other things, that you will not be entitled to any compensation from Script Inc., our affiliates, or our business partners if your name, likeness, or voice is conveyed through the Services. While we’re not required to do so, we may access, review, screen, and delete your content at any time and for any reason, including to provide and develop the Services or if we think your content violates these Terms. You alone, though, remain responsible for the content you create, upload, post, send, or store through the Service.
7. Content of Others
Much of the content on our Services is produced by users, publishers, and other third parties. While we try to maintain a safe environment, this content is the sole responsibility of the person or organization that submitted it. Script Inc. cannot and does not review all content, and we cannot guarantee that other users' content or conduct will comply with these Terms or our [Link to Community Guidelines].
You may be exposed to content that is offensive, illegal, misleading, or otherwise inappropriate. Script Inc. is not responsible for any such content created, uploaded, posted, sent, received, or stored on or through our Services by users or third parties. We reserve the right, but have no obligation, to review or remove content that appears on the Services.
8. Your Content
You are solely responsible for the content you make available through the Services ("Your Content"). You represent and warrant that:
- You own Your Content or have the necessary rights and permissions to grant us the license described in Section 6.
- Your Content, and your posting or use of Your Content, does not violate these Terms, our [Link to Community Guidelines], or any applicable laws or regulations.
- Your Content does not infringe upon, misappropriate, or violate the rights of any third party, including intellectual property rights, privacy rights, and publicity rights.
Script Inc. is not responsible or liable for Your Content. You understand that Your Content may be visible to others depending on the settings you choose.
9. Acceptable Use and Community Guidelines
You agree not to use the Services in a way that:
- Violates any applicable local, state, national, or international law or regulation.
- Infringes on the rights of others, including, but not limited to, intellectual property rights (copyright, trademark), privacy, publicity, or other proprietary rights.
- Is fraudulent, deceptive, or misleading.
- Is defamatory, obscene, pornographic, vulgar, or offensive.
- Promotes illegal or harmful activities or substances.
- Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
- Is violent, threatening, or promotes violence or actions that are threatening to any person or entity.
- Involves bullying, harassment, intimidation, or stalking.
- Involves the exploitation or endangerment of minors.
- Attempts to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Sends unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other forms of solicitation.
- Attempts to interfere with, disrupt, or compromise the integrity or security of the Services, our servers, or networks (e.g., transmitting viruses, overloading, flooding, spamming, mail-bombing, scraping, reverse-engineering, attempting to gain unauthorized access).
- Uses any automated means (bots, scrapers, spiders) to access the Services or extract data without our express written permission.
- Violates our [Link to Community Guidelines], which provide more detailed rules about prohibited content and conduct.
Failure to comply with these rules may result in the removal of content, suspension or termination of your account, and reporting to law enforcement authorities if appropriate.
10. Modifying and Terminating Services
We are always trying to improve our Services and create new ones. This means we may add or remove features, products, or functionalities, and we may also suspend or stop the Services altogether. We may take any of these actions at any time, and when we do, we may not provide you with any notice beforehand.
You can terminate these Terms at any time by deleting your account.
11. Account Suspension and Termination
Script Inc. may suspend or terminate your access to the Services or your account at any time, for any reason or no reason, including if we believe: (a) you have violated these Terms or our Community Guidelines, (b) you create risk or possible legal exposure for us; (c) your account should be removed due to prolonged inactivity; or (d) our provision of the Services to you is no longer commercially viable.
Where reasonably possible, we will notify you by email or the next time you attempt to access your account. Before terminating your account, we may attempt to work with you to resolve the issue, depending on the circumstances.
12. Third-Party Services
The Services may contain links to third-party websites, applications, or services that are not owned or controlled by Script Inc. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access any third-party website, service, or content from our Services, you do so at your own risk and you agree that Script Inc. has no liability arising from your use of or access to any third-party website, service, or content.
13. Indemnity
You agree, to the extent permitted by law, to indemnify, defend, and hold harmless Script Inc., its affiliates, directors, officers, employees, and agents from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys' fees) due to, arising out of, or relating in any way to: (a) your access to or use of the Services; (b) Your Content; or (c) your breach of these Terms.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WHILE SCRIPT INC. ATTEMPTS TO PROVIDE A GOOD USER EXPERIENCE, WE DO NOT REPRESENT OR WARRANT THAT: (A) THE SERVICES WILL ALWAYS BE SECURE, ERROR-FREE, OR TIMELY; (B) THE SERVICES WILL ALWAYS FUNCTION WITHOUT DELAYS, DISRUPTIONS, OR IMPERFECTIONS; OR (C) THAT ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICES WILL BE TIMELY OR ACCURATE.
SCRIPT INC. TAKES NO RESPONSIBILITY AND ASSUMES NO LIABILITY FOR ANY CONTENT THAT YOU, ANOTHER USER, OR A THIRD PARTY CREATES, UPLOADS, POSTS, SENDS, RECEIVES, OR STORES ON OR THROUGH OUR SERVICES. YOU UNDERSTAND AND AGREE THAT YOU MAY BE EXPOSED TO CONTENT THAT MIGHT BE OFFENSIVE, ILLEGAL, MISLEADING, OR OTHERWISE INAPPROPRIATE, NONE OF WHICH SCRIPT INC. WILL BE RESPONSIBLE FOR.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRIPT INC. AND OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR MULTIPLE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) THE CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES ON OR THROUGH THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, EVEN IF SCRIPT INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL SCRIPT INC.'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR THE AMOUNT YOU PAID SCRIPT INC., IF ANY, IN THE LAST 12 MONTHS FOR THE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS AS A CONSUMER.
16. Governing Law and Venue
These Terms and any claims or disputes arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Washington, USA, without regard to its conflict of laws rules.
To the extent that these Terms allow you or Script Inc. to initiate litigation in a court, both you and Script Inc. agree that all claims and disputes arising out of or relating to the Terms or the use of the Services will be litigated exclusively in the federal or state courts located in King County, Washington, USA. You and Script Inc. consent to the personal jurisdiction of those courts.
17. Changes to These Terms
We may modify these Terms from time to time. If we make material changes to the Terms, we will provide you with reasonable notice, such as by posting a notification within the Service or sending an email to the address associated with your account. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services. We encourage you to review the Terms periodically.
18. Severability
If any provision of these Terms is found to be unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.
19. Entire Agreement
These Terms, along with our Privacy Policy and any other terms referenced herein (like [Link to Community Guidelines]), make up the entire agreement between you and Script Inc. regarding the Services, and supersede any prior agreements. These Terms do not create or confer any third-party beneficiary rights. Our failure to enforce a provision in these Terms will not be considered a waiver. We reserve the right to transfer our rights under these Terms and provide the Services using another entity, provided that entity upholds these Terms. You may not transfer any of your rights or obligations under these Terms without our consent. We reserve all rights not expressly granted to you.
